Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You agree to provide accurate information and to keep it up to date.

Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Violate the rights of others, including intellectual property and privacy rights.
• Upload or transmit malware, or attempt to disrupt, degrade, or gain unauthorized access to the Service or related systems.
• Reverse engineer, scrape, or copy the Service except as permitted by applicable law.
• Record, transcribe, or share meeting content without the consent required by applicable law and the meeting's participants.
• Misrepresent your identity or impersonate any person or entity.

Your content

You retain ownership of the content you create, upload, or share through the Service ("Your Content"). You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you and your meeting participants. You are responsible for Your Content and for ensuring you have the rights necessary to share it.

Our intellectual property

The Service, including its software, design, and content provided by us, is owned by Weave and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.

Subscriptions and billing

• Paid plans are billed in advance on a recurring basis (monthly or annual) until canceled.
• Fees are charged through our third-party payment processor. By subscribing, you authorize recurring charges to your payment method.
• You can cancel at any time; your paid features remain active through the end of the current billing period.
• Except where required by law, payments are non-refundable. We may change pricing with reasonable advance notice.

Third-party services

The Service may integrate with or rely on third-party services. We are not responsible for third-party services, and your use of them may be subject to their own terms and policies.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases, though certain provisions of these Terms survive.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

Limitation of liability

To the maximum extent permitted by law, Weave and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Weave and its affiliates from any claims, liabilities, damages, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

Changes to the Service or Terms

We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.
